Terms of Service

1. Introduction

These Terms of Service (the “Terms”) govern your access to and use of the website located at yumi.finance and any related products, APIs, documentation, or services (collectively, the “Services”) provided by Yumi Labs INC., a company incorporated in the Republic of Panama under folio number 155773119 (referred to here as “Yumi”, “we”, “us”, or “our”). By accessing the Services, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction to use the Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Nature of the Services

Yumi provides software, APIs, and infrastructure tooling that enable regulated financial institutions, fintech operators, and other authorized counterparties to build and operate credit products. Yumi is not a bank, deposit-taking institution, broker-dealer, or licensed lender, and the Services do not constitute:

  • an offer, solicitation, or recommendation to extend credit;
  • an offer or sale of any security or financial instrument;
  • legal, tax, accounting, or investment advice.

4. Accounts and Access

Certain parts of the Services require an account. You agree to provide accurate and complete information, to keep that information up to date, and to maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account.

5. Acceptable Use

You agree not to use the Services to:

  • violate any law, regulation, or third-party right;
  • send malware, probe for vulnerabilities, or attempt to disrupt the Services;
  • reverse-engineer, resell, or otherwise exploit the Services outside the scope of these Terms or an applicable written agreement;
  • use the Services to engage in fraud, money laundering, terrorist financing, or sanctions evasion.

6. Intellectual Property

All content, trademarks, software, and materials made available through the Services are the property of Yumi or its licensors and are protected by applicable intellectual-property laws. No right or license is granted to you by implication, estoppel, or otherwise, except as expressly set out in these Terms or a separate written agreement.

7. Third-Party Services

The Services may interoperate with third-party platforms, including payment processors, identity providers, analytics providers, and cloud infrastructure. We are not responsible for the availability, accuracy, or practices of those third parties.

8. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Yumi and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services. Our aggregate liability under these Terms shall not exceed the greater of (a) the fees paid by you to Yumi in the twelve (12) months preceding the claim, or (b) USD 100.

10. Indemnification

You agree to indemnify and hold harmless Yumi and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your breach of these Terms, or your violation of any applicable law or third-party right.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, the provisions of these Terms that by their nature should survive (including Sections 6, 8, 9, 10, and 12) will continue to apply.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Panama, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Panama City, Panama, unless mandatory law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
